1. PARTIES AND ACCEPTANCE

This Hold Harmless Agreement ("Agreement") is entered into by and between Ennio Emmanuel Limited Co., a limited liability company duly organized and existing under the laws of the State of Delaware, doing business as "Main Little Things by Ennio Emmanuel" ("Company," "We," "Us," or "Our"), with its principal place of business in Dover, Delaware, and any individual or entity ("User," "Customer," "Visitor," or "You") who accesses, browses, purchases from, or otherwise uses the website, online store, or services operated under the Main Little Things by Ennio Emmanuel brand.


BY ACCESSING THIS WEBSITE, PLACING AN ORDER, OR COMPLETING A PURCHASE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY ALL TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USE OF THIS WEBSITE AND REFRAIN FROM MAKING ANY PURCHASES.


2. HOLD HARMLESS AND INDEMNIFICATION

To the fullest extent permitted by the laws of the State of Delaware and applicable federal law, You hereby agree to release, defend, indemnify, and hold harmless Ennio Emmanuel Limited Co., its owner(s), officers, directors, members, employees, agents, contractors, suppliers, successors, and assigns (collectively, "Released Parties") from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Any allergic reaction, skin sensitivity, injury, or adverse health effect arising from product use, whether or not instructions were followed;

  • Any violation of the rights of any third party, including intellectual property rights;

  • Any User-generated content, reviews, or communications submitted to or through the website;

  • Any reliance by You on information, descriptions, or representations found on this website.


3. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED UNDER DELAWARE LAW, IN NO EVENT SHALL ENNIO EMMANUEL LIMITED CO., ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF ANY PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


In jurisdictions where the exclusion or limitation of liability for consequential or incidental damages is not permitted, Our liability shall be limited to the fullest extent permitted by law. In all cases, Our total cumulative liability to You for any claims arising out of or related to any product or transaction shall not exceed the actual purchase price paid by You for the specific product giving rise to the claim.


4. PRODUCT DISCLAIMERS & JEWELRY-SPECIFIC WARNINGS

All jewelry and merchandise sold through Main Little Things by Ennio Emmanuel is intended for personal adornment and decorative purposes only. By purchasing or using any product, You acknowledge and agree to the following:


  • MATERIAL SENSITIVITIES: Some products may contain metals, alloys, resins, coatings, or other materials. It is Your sole responsibility to verify material composition and consult a physician if You have known metal allergies, skin sensitivities, or medical conditions prior to use.

  • NOT FOR CHILDREN UNDER 3: Small jewelry items and accessories may present choking hazards. No product is recommended for children under the age of three (3) without direct adult supervision.

  • PRODUCT VARIATION: Colors, sizes, and finishes depicted on screen may vary from actual products due to monitor calibration, lighting, and photographic representation. The Company makes no guarantee of exact color or dimension match.

  • CARE & MAINTENANCE: Products may tarnish, fade, or deteriorate with exposure to water, chemicals, perfumes, or sweat. Failure to follow care instructions does not constitute a product defect.

  • NOT MEDICAL DEVICES: No product sold by Main Little Things by Ennio Emmanuel is intended to diagnose, treat, cure, or prevent any medical condition.


5. INTELLECTUAL PROPERTY

All content on this website, including but not limited to text, graphics, logos, photographs, product images, brand names, and the "Main Little Things by Ennio Emmanuel" mark, is the exclusive property of Ennio Emmanuel Limited Co. or its licensors and is protected by United States copyright, trademark, and other intellectual property laws.


You are expressly prohibited from reproducing, distributing, publicly displaying, modifying, or creating derivative works from any content without the prior written consent of the Company. Unauthorized use constitutes infringement and may result in civil and/or criminal liability.


6. RETURNS, REFUNDS & DISPUTES

All sales are subject to Our Return & Refund Policy as published on the website at the time of purchase and incorporated herein by reference. By completing a purchase, You acknowledge that You have reviewed and accepted the applicable return policy. The Company reserves the right to modify its return policy at any time with or without notice.


In the event of any dispute arising from a product purchase, You agree to first contact Us in writing to attempt informal resolution before initiating any formal legal proceeding.


7. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or related to this Agreement shall be brought exclusively in the state or federal courts located in Kent County, Delaware, and You hereby irrevocably consent to the personal jurisdiction and venue of such courts.


The parties acknowledge that Ennio Emmanuel Limited Co. is domiciled in the State of Delaware, and the principal place of business for Main Little Things by Ennio Emmanuel is located in Dover, Delaware. This Agreement shall be interpreted consistent with Delaware law, including but not limited to the Delaware Uniform Commercial Code (Title 6 of the Delaware Code) and applicable consumer protection statutes.


8. DISPUTE RESOLUTION & ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.


Any dispute, claim, or controversy arising out of or relating to this Agreement, or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this Agreement to arbitrate, shall be determined by binding arbitration before a single arbitrator in Kent County, Delaware, administered by a mutually agreed-upon arbitration service, before resorting to litigation.


You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU WAIVE ANY RIGHT TO A JURY TRIAL.


Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from the courts as necessary to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.


9. PRIVACY & DATA

Any personal information collected through this website is subject to Our Privacy Policy, which is incorporated herein by reference. By using this website, You consent to the collection, use, and sharing of Your information as described in the Privacy Policy. We do not sell personal information to third parties.


10. SEVERABILITY

If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of this Agreement shall continue in full force and effect. The invalidity of any one provision shall not affect the validity of any other provision herein.


11. ENTIRE AGREEMENT & AMENDMENTS

This Agreement, together with Our Privacy Policy, Return Policy, and any other policies or terms expressly incorporated herein, constitutes the entire agreement between You and Ennio Emmanuel Limited Co. with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and representations.

Ennio Emmanuel Limited Co. reserves the right to modify this Agreement at any time. Modifications become effective immediately upon posting to the website. Your continued use of the website following any modification constitutes Your acceptance of the revised Agreement. It is Your responsibility to review this Agreement periodically.

BY USING THIS WEBSITE OR MAKING A PURCHASE, YOU CONFIRM THAT YOU ARE AT LEAST 18 YEARS OF AGE, HAVE FULL LEGAL CAPACITY TO ENTER INTO THIS AGREEMENT, HAVE READ AND UNDERSTAND ALL PROVISIONS HEREIN, AND VOLUNTARILY AGREE TO BE BOUND BY ITS TERMS.
